Reference is made to the stock exchange announcement from RCAF E-Learning Sàrl
(«RCAF») today regarding an agreement to sale its shares in Mintra Holding AS
(the «Company»).
RCAF has requested that an extraordinary general meeting (the "EGM") is held to change the board composition, cf. section 5-6 (2) of the Private Limited Liability Companies Act. RCAF has advised the Company that the two current board members representing RCAF, Martin Scott (chair) and Jeroen Lenssen (board member), will step down from the board of directors, and that it is proposed that Runi M. Hansen is elected as new chair and Nils Jegstad as new board member.
The EGM will be held on Wednesday 16 March 2022. The notice for the EGM is expected to be published and distributed on 7 March 2022.
