TERMS AND CONDITIONS FOR DIGITAL PURCHASES ON TRAININGPORTAL

(the “Terms”)

By consenting to these Terms you confirm that:

i) You are of legal age or, otherwise, have the capacity to create legal relations with Mintra; and

ii) You have read, understood and agree to the contents of these Terms; and

iii) Your consent to these Terms is valid and shall have equal legal effect as your physical signature.

1. These Terms explain how Mintra provides its Products and Services, Software, or Applications when purchased digitally.
2. By signing these Terms and Conditions for Digital Purchases (the “Terms”), you acknowledge and agree that you are entering into a binding agreement (the “Agreement”) with Mintra AS (“Mintra”).
3. This Agreement is made and effective on the date the Customer’s, Customer Admin’s, or End-User’s account is created or on the date of purchase of any of Mintra’s Products and Services (the “Effective Date”).
4. Each new purchase of Products and Services will be subject to the most recent version of these Terms, and a separate Agreement shall be deemed formed on that basis.
5. THESE TERMS MUST BE READ TOGETHER WITH MINTRA’S (I) APPLICABLE PRODUCT SPECIFIC TERMS (“PST”), THE (II) GENERAL TERMS AND CONDITIONS (“GTC”), AND (III) THE END USER TERMS OF SERVICE (“EUTS”) LOCATED AT WWW.MINTRA.COM/LEGAL. BY MAKING A DIGITAL PURCHASE, YOU ACKNOWLEDGE AND AGREE THAT YOUR ORDER, PURCHASE AND USE OF MINTRA’S PRODUCTS AND SERVICES ARE GOVERNED BY ALL OF THESE DOCUMENTS, WHICH TOGETHER FORM THE AGREEMENT.
6. If there is any conflict between these Terms and the documents listed in section 5 above, this order of precedence applies: these Terms prevail, followed by the PST, followed by the GTC, followed by the EUTS.
7. Unless otherwise defined herein, capitalised terms used in this agreement shall have the respective meaning ascribed to each term in the “Glossary of Legal Terms”, located at www.mintra.com/legal.
8. This Agreement begins on the Effective Date and continues until terminated. Where a Minimum Period applies (for example, a Subscription), the Agreement shall run for at least such Minimum Period and automatically continue thereafter for 12- (twelve-) month periods unless terminated as set out in these Terms.
9. The Pay As You Go and Subscription licence models available for digital purchase are outlined in section 25 below.
10. Payments for digital purchases are made via credit card.
11. Pay As You Go purchases are charged in advance and are non-refundable.
12. Subscription fees are charged in advance for recurring 12- (twelve-) month periods unless cancelled prior to their renewal.
13. Mintra may grant additional discounts for a multi-year Subscriptions (for example, a Minimum Period of 24 months). If the Customer cancels before the end of the agreed Minimum Period, Customer shall not be entitled to a refund of any amounts already paid. In addition, any discounts applied for the multi-year Subscriptions will be reversed, and Mintra may charge the Customer’s credit card for the value of such discounts.
14. Mintra does not guarantee uninterrupted or error-free operation of its Products and Services. Details are set out in the GTC the SLA and related documentation.
15. All Intellectual Property Rights in Mintra’s Products, Services, Software, and Applications remain with Mintra or its licensors and Customer receives only a limited licence to use them under the applicable licence model. Details are set out in the GTC, PST and related documentation.
16. Some Products and Services rely on third-party licences. Mintra may remove such Products and Services if those licences expire or become invalid. Mintra is not liable for claims arising from expired third-party licences.
17. Both parties must keep confidential information secure and not disclose it to third parties without consent, except as required by law.
18. Mintra processes personal data in accordance with applicable data protection laws, including the GDPR. Details are set out in the GTC and related documentation.
19. Mintra’s liability is limited to foreseeable damages directly caused by Mintra’s breach. Liability is capped and limited as set out in the GTC.
20. The Customer agrees to comply with all applicable anti-bribery, anti-corruption, and sanctions related laws.
21. Customers must comply with export controls introduced on Mintra by third-parties. Products and Services may not be accessed or used in restricted territories.
22. For Pay As You Go, this Agreement ends automatically once purchased licences are used or expire. For Subscriptions, the Agreement renews annually unless cancelled in advance.
23. Certain rights and obligations (deriving from provisions such as Confidentiality, Intellectual Property, and Data Protection) survive termination.
24. These Terms are governed by the laws of Norway and any disputes shall be resolved in accordance with the GTC.
